Florida Registered Agent Requirements for LLCs

Florida requires a registered agent with a physical street address available during business hours. Here are the rules, the deadlines, and how to switch agents.

Every LLC and corporation registered in Florida must have a registered agent. It is one of the shortest requirements in the statutes and one of the most commonly mishandled, because the rules about who can serve and what address is acceptable are stricter than most new owners expect. Here is what Florida actually requires, including the registered agent requirements for non-U.S. founders, what the service costs around Boca Raton, and how to stay compliant year after year.

What a registered agent is

A registered agent is the person or company officially designated to receive legal and state correspondence on your business's behalf: service of process if your company is sued, notices from the Florida Division of Corporations, and other official mail. The agent's name and address are filed with the state and published on Sunbiz.org, where anyone can look them up.

What Florida requires

Florida's business entity statutes set out a short list of requirements, and all of them must be met continuously, not just at formation.

  • Every LLC, corporation and nonprofit registered in Florida must designate and continuously maintain a registered agent.
  • The agent must have a street address in Florida. A P.O. box is not acceptable as the registered office.
  • The agent must be available at that address during normal business hours to accept service of process in person.
  • The agent must sign an acceptance of the appointment, confirming they are familiar with and accept the obligations of the position.
  • The registered office address must be kept current with the state; if it changes, the change has to be filed.

An individual Florida resident may serve as their own registered agent, and so may a business entity authorized to do business in Florida. What you cannot do is list an out-of-state address, a mailbox service that only gives you a box number, or an address where nobody is present during the day.

Where the agent's address appears — and who can see it

The registered agent's name and street address appear on Sunbiz.org on your entity's public record, alongside your principal address. Both are open to anyone: competitors, clients, marketers and data brokers. That is not a flaw in your filing — it is how the statute is written, and it is the single most common reason owners switch from acting as their own agent to a commercial one.

It is also the reason the address you list has to be a real, staffed street address. Process servers, the Department of State and the courts all rely on the published record being accurate.

Can you be your own registered agent?

Yes, if you are a Florida resident with a street address in the state, and you are willing to accept the obligations that come with it. The three problems that follow are predictable:

  • Your home address becomes a permanent public record. Once it is on Sunbiz.org it is indexed, scraped and resold, and it cannot be quietly unpublished.
  • You must be physically present during business hours. A process server who cannot reach you does not go away; in some circumstances service can proceed anyway and you find out about a lawsuit after a default.
  • Being served in front of a client, an employee or your family is a bad day that a commercial address prevents.

Acting as your own agent costs nothing, which is exactly what it is worth to most operating businesses. The moment your company has customers, employees or vendors who could conceivably sue it, the calculus changes.

What registered agent service costs in Boca Raton

Commercial registered agents charge in one of two ways: a standalone subscription, or the service bundled into a virtual office plan. Around Boca Raton the typical landscape looks like this:

Competitor prices are their commonly advertised Boca Raton ranges as of publication; packages change, so verify current inclusions with each provider before deciding.

Two details decide whether a cheap agent listing is actually a good deal:

  • Who staffs the address. A registered agent must be reachable in person during business hours. Some national services accept documents at a mail-processing facility and forward them later, which slows down the paperwork that most needs to be fast.
  • What happens after service. Receiving a lawsuit summons is the beginning, not the end. Find out how and how quickly you are notified, and whether the same office can handle the Sunbiz filings that follow.

What to look for in a commercial agent

  • A staffed street address in Boca Raton or your operating city, not a warehouse or a P.O. box — Florida will not accept a box number as the registered office.
  • Same-business-day notification when service of process or official mail arrives, with a copy you can actually read.
  • Someone available during normal business hours, year round.
  • An agent that helps with the follow-on paperwork: annual report reminders, address changes, and agent changes filed on Sunbiz.org.
  • Clear pricing with no surprise renewal jump.

Service of process: what actually happens

If your company is sued, the process server delivers the summons to your registered agent's address — not to you. The agent signs for it, and everything downstream depends on how fast that document reaches you. Florida's rules of procedure start response clocks from the date of service, and a summons that sits unread in a forwarding queue can cost you the chance to respond at all.

This is the strongest argument against treating the agent as a checkbox. The designation only protects you if the documents it receives get to a human being who tells you, the same day, that they arrived.

Annual reports and staying in good standing

Registered agent service is not the whole compliance picture. Florida requires an annual report for LLCs and corporations, due by May 1 each year, filed through Sunbiz.org. Missing it carries a substantial late penalty, and continued failure to file leads to administrative dissolution, which can interrupt your bank accounts, contracts and licensing. Fees change, so confirm current amounts on Sunbiz.org before filing.

Reinstating a dissolved entity is possible but costs more and takes longer than simply filing on time. A good agent reminds you before the deadline; the best ones file the report as part of the service.

Changing your registered agent

Switching is straightforward and can be done at any time of year. You file the change with the Division of Corporations — either on its own agent-change filing or as part of your annual report — and the new agent signs an acceptance. The state does not require the old agent's consent.

Most businesses switch when they move, when they stop wanting their home address public, or when a friend who agreed to serve stops being reachable. If your current agent's designation is expiring with a plan you are cancelling, file the change before the plan ends so there is no gap in coverage — an entity without a maintained registered agent is out of compliance from the day the old one stops.

What happens if you do not maintain an agent

Florida can administratively dissolve or revoke authority for an entity that fails to maintain a registered agent or a registered office. Dissolution does not erase the company's debts or contracts; it strips away the liability shield owners formed the entity to get. Reinstatement is possible, but the late fees, back annual reports and paperwork cost far more than a year of professional agent service ever would.

How My Office Boca handles it

Registered agent service is included with our Advanced and Ultimate plans, and available as a flat add-on on Essential. Your entity is served at our staffed Boca Raton office at 7781 NW Beacon Square Blvd., Suite 102, someone is there during business hours to accept documents, and what arrives is notified to you the same day and forwarded or scanned the same week. The Ultimate plan also includes your Sunbiz.org annual renewal filing, so the May 1 deadline is handled rather than remembered.

If you already have an agent and want to move the designation to our office, we walk you through the Sunbiz change filing so coverage continues without a gap.
